Halka arzda izahnameden doğan hukuki sorumluluk

Abstract

The prospectus is the most critical public disclosure document to be prepared in the context of public offerings. Multiple parties provide information for this document and take part in different stages of its preparation. For the investor, the prospectus serves as the clearest snapshot of the issuer, playing a significant role in their investment decision. In this study, the definition of the prospectus is initially provided, its legal nature is discussed, and the legal requirements and principles it must adhere to are explained. It is also compared with similar concepts, highlighting differences and similarities. Subsequently, the examination by the Capital Markets Board, approval, registration, and publication processes, as well as procedures for amendments to the prospectus, are addressed. By briefly discussing the public offering process, the place of the prospectus within this process is clarified. In the second chapter, the legal foundations of prospectus liability are examined, with a focus on capital markets legislation as well as other relevant legal frameworks. The third chapter analyzes the conditions of liability, addressing key aspects such as fault and damages. The final chapter, the fourth chapter, explores the circumstances under which investors who have relied on the accuracy of the prospectus and suffered losses may seek compensation, from which liable parties, and through what means. Additionally, issues such as the calculation of compensation, statutes of limitation, and the jurisdiction of competent courts are discussed to provide a comprehensive perspective on the subject.

Halka arz kapsamında hazırlanacak en önemli kamuya aydınlatma belgesi izahnamedir. İzahnamenin hazırlanması aşamasında birden fazla taraf, işbu belgeye bilgi temin etmekte ve hazırlanma safhalarının farklı aşamalarında görev almaktadırlar. İşbu çalışma kapsamında öncelikle izahnamenin tanımı yapılmış, hukuki niteliğinden bahsedilmiş, taşıması gereken yasal şartlar ve uyulması gereken ilkeler izah edilmiştir. Benzer kavramlar ile karşılaştırılarak farklılık ve benzerlikleri de masaya yatırılmıştır. Ardından Sermaye Piyasası Kurulunca yapılan inceleme, verilen onay, tescil ve ilan süreçleri, izahnamede yapılacak değişikliklerin nasıl yapılabileceğinden bahsedilmiştir. Halka arz sürecinden de kısaca bahsedilerek, izahnamenin bu süreçteki yeri daha net bir biçimde ortaya konulmaya çalışılmıştır. İkinci bölümde ise izahname sorumluluğunun hukuki dayanakları konusuna geçiş yapılarak, sermaye piyasası mevzuatı başta olmak üzere diğer mevzuatlarda da sorumluluk hususu ele alınmıştır. Üçüncü bölümde ise sorumluluğun koşulları incelenmiş olup, kusur ve zarar konuları ele alınmıştır. Son bölüm olan dördüncü bölümde ise izahnamenin doğruluğuna güvenerek yatırım yapan yatırımcıların, herhangi bir zarara uğramaları halinde işbu zararı hangi şartlarda hangi sorumlulardan nasıl tazmin edebilecekleri konusuna değinilmiştir. Tazminatın nasıl hesaplanacağı, zamanaşımı ve görevli ve yetkili mahkeme konuları da ele alınarak konuya dair bütün bir perspektif ile incelemeler yapılmıştır.
