Resolution of Intra-Corporate Disputes in the Way of Arbitration in Capital Companies

Abstract

It is preferable to resolve intra-corporate disputes in the way of arbitration because it is both fast and confidential. Since one party is the company and the other party is the shareholders, many problems arise in these multiparty arbitration proceedings. Many studies have been conducted on the subject, especially in Germany and Switzerland. Significant developments are also taking place in Turkey. The consent to arbitration, the arbitrability of intra-company disputes, the principle of equality, the right to be heard and the effects on the appointment of arbitrators and consolidation are the main focus of Study. Study basically consists of two parts. In the first part, the arbitration agreement in the articles of association is examined in terms of substantive validity and arbitrability. In this context, especially the consent of arbitration and the arbitrability of controversial disputes are analyzed. In the second part, the problems arising from multiparty arbitration are evaluated, particularly with respect ton the appointment of arbitrators, the principle of equality of the parties and the right to be heard. Finally, parallel proceedings are analyzed only in the context of intra-corporate disputes.

Gerek hızlı olması gerekse gizli olması sebebiyle şirket içi uyuşmazlıkların tahkim yoluyla çözümlenmesi oldukça avantajlıdır. Başta Almanya ve İsviçre olmak üzere Kıta Avrupası Hukuklarında şirket içi uyuşmazlıklar hakkında birçok çalışma yapılmış ve söz konusu çalışmalar neticesinde bu konu özelinde meydana gelen tahkim yargılamaları sırasında meydana gelen birçok soruna çözüm getirilmeye çalışılmıştır. Ülkemizde de kayda değer gelişmeler yaşanmaktadır. Tahkim iradesi, tahkime elverişli şirket içi uyuşmazlıklar, yargısal temel haklar olan eşitlik ilkesi, hukuki dinlenilme hakkı, hakem seçimi ve yargılamaların birleştirilmesi çalışmamızın odak noktasını oluşturmaktadır. Çalışmamız temelde iki bölümden oluşmaktadır. Birinci bölümde esas sözleşmede yer verilen tahkim anlaşmasının maddi geçerliliği ve şirket içi uyuşmazlıkların konu objektif tahkime elverişliliği ele alınmıştır. Bu kapsamda özellikle tahkim iradesi ve tahkime elverişlilik konusunda tartışmalı uyuşmazlıklar irdelenmiştir. İkinci bölümde ise çok taraflı tahkimin meydana getirdiği sorunlar; özellikle hakem seçimi, tarafların eşitliği ilkesi ve paralel yargılamalar kapsamında değerlendirilmiştir. Bu bölümde son olarak paralel yargılamalara, yalnızca şirket içi uyuşmazlıklar özelinde yer verilmiştir.
