Resolution of Liability Cases against Joint Stock Company Board Members through Arbitration

Abstract

Our work seeks to answer the question of whether liability cases filed against board members in joint-stock companies can be resolved through arbitration. As the legislator aims to ensure that board members of joint-stock companies act in accordance with the law and the articles of association, Article 553 of the Turkish Commercial Code (TCC) anticipates that liabilities will arise if board members violate their obligations arising from the law or articles of association. In this way, the legislator has addressed this issue on the basis of joint stock companies, which are larger in quality, capital and volume among the capital companies that constitute one of the locomotives of the Turkish economy, emphasizing the importance placed on the compensation of damages in case of harm to these companies, their shareholders, and creditors. Additionally, our work seeks into general principles related to arbitration. It attempts to explain the content of the phenomenon of resolving disputes through arbitration, along with fundamental arbitration concepts. After going through these processes, evaluations have been made regarding the main subject of the research. Particularly, the study addresses whether the liability cases is subject to arbitration, aiming to provide solutions to potential issues related to liability cases from a broader perspective. Suggestions for resolution are presented, and potential problems in international arbitration law are explained by intersecting them with corporate law.

Çalışmamız, anonim şirketlerde yönetim kurulu üyelerine karşı açılacak sorumluluk davalarının tahkim yolu ile çözümlenip çözümlenemeyeceği sorusuna cevap aramaktadır. Kanun koyucu, anonim şirket yönetim kurulu üyelerinin kanun ve esas sözleşmeye uygun davranmasını temin etmek istediğinden, TTK m. 553'te yönetim kurulu üyelerinin kanundan veya esas sözleşmeden doğan yükümlülüklerini ihlal etmesi halinde sorumluluklarının doğacağını öngörmüştür. Bu şekilde kanun koyucu, Türk ekonomisinin lokomotiflerinden birini oluşturan sermaye şirketlerinden nitelik, sermaye ve hacim olarak daha büyük olanı anonim şirketler temelinde bu konuyu ele almış ve piyasada önem arz eden anonim şirketlerin, bu şirketlerin pay sahiplerinin ve şirketin alacaklılarının zarara uğratılması halinde bu zararın tazminine büyük önem verdiğini göstermiştir. Bunun yanı sıra çalışmamızda tahkime ilişkin genel esaslara da yer verilerek, bu araştırmada yer alan tahkimle çözümlenmesi olgusunun içeriği ve bu olguyu ilgilendiren temel tahkim kavramları anlatılmaya çalışılmıştır. Bu süreçlerden geçildikten sonra, araştırmanın esas sebebini oluşturan konu ile ilgili değerlendirmeler yapılmıştır. Bu kapsamda özellikle sorumluluk davasının tahkime tabi olup olmayacağı, daha geniş bir perspektiften ele alınarak sorumluluk davasına ilişkin oluşabilecek sorunlara çözüm önerileri getirilmeye çalışılmış ve milletlerarası tahkim hukukunda bu alanda oluşabilecek sorunlar şirketler hukuku ile kesiştirilerek açıklanmıştır.
