Aile işletmelerinde anayasalar ve getirdikleri bağlayıcı kuralların etkisi / Constitutions in family busi̇ness and the effect of their binding rules

Abstract

Aile işletmeleri konusu günümüzde gittikçe yaygınlaşmaya devam eden çalışmalarla kendine geniş bir yer edinmektedir. Değişen ekonomi koşulları ve dünya düzeni içerisinde ülkelerin ekonomilerinde büyük bir etkiye sahip olan aile işletmelerinin devamlılığını sağlayabilmek adına çözüm yolları geliştirmeye çalışılmaktadır. Aile anayasası bu yollardan biri olarak kabul görmektedir. Aile anayasası ciddi ve uzun bir çalışma sonucunda ortaya çıkarılan bir metindir ve uyulması beklenen kuralları kapsamaktadır. Türkiye'de aile anayasasına sahip olan işletme sayısının artması ile beraber literatür çalışmaları yaygınlaşmıştır. Çalışmada aile işletmelerinin konu edildiği, taraf olduğu, aile işletmesi üyelerinin taraf olduğu ve davaların unsurları arasında aile işletmelerinin bulunduğu ve temyiz mercii olan Yargıtay ve Danıştay'a temyizi için başvurulmuş davalar incelenmektedir. Davaların açılmasına sebep olan hususlar, anlaşmazlıklar ve talepler incelenerek bunlarla ilişkili aile anayasasında hangi koruyucu ve engelleyici önlemler ve kuralların oluşturulabileceği belirlenmiştir. Böylece hem aile işletmelerinin yargıya yansıyan sorunları irdelenmiş hem de benzeri sorunların oluşmaması için veya meydana gelmeleri halinde nasıl bir yol haritası izlenebileceğine ilişkin aile anayasasında olması öngörülen hususlar belirlenmiştir. Family business subject acquires to a wide range by the on going works that increasingly growing. In the changing economical conditions and the World order the solutions are being developed which ensure the continuity of family businesses that have a major impact on the economies of the countries. The family constution is one of these solutions. The family constution is a text that build with serious and long period of study and it holds the rules which are expected to be obeyed. In the study the cases about family businesses that appealed to the Supreme Court of Appeals and the Council of State are examined. In these cases, the family businesses are inolved as subjects, as parties or at least as elements. The issues, disputes and claims that led to the opening of the cases were examined to determine which relevant preventive and preventive measures and rules could be established in the family constitution. Thus, the problems faced by the family businesses in the judiciary have been examined and also the issues have been specified that must be part of the family constitution that offer a road map to follow to prevent the similar problems happen again or in case of they come to the scene.
