Arsa payı karşılığı inşaat sözleşmesinde eksik ifa ve ayıplı ifa kavramları / Imperfect performance and deficient work in the construction agreement in return for land shar

Abstract

Arsa payı karşılığı inşaat sözleşmesinin tarafları arsa sahibi ve müteahhittir. Atipik olan bu sözleşmeye kıyasen eser ve taşınmaz satış vaadi sözleşmesi hükümleri uygulanır. Arsa payı karşılığı inşaat sözleşmesinde karakteristik edim borçlusu olan müteahhidin edimi dikkate alındığında bu sözleşmenin ani edimli olduğu söylenebilir. Eksik ifanın ayıplı ifa kavramından ayırt edilmesi gerekir. Müteahhidin bina inşa edip arsa sahibinin payına düşen bağımsız bölümleri teslim etme borcunu eksik ifası halinde genel hükümler uygulama alanı bulur. Dolayısıyla, ayıplı ifada olduğu gibi muayene ve ihbar külfetleri, ihtirazi kayıt öne sürülmesi aranmaksızın eksik ifadan doğan taleplerin genel zamanaşımı süresinde öne sürülmesi mümkündür. Eksik ifadan doğan talepler; aynen ifa ile eksik teslimden doğan zararın tazminini, bedelden indirim ile eksik ifa sebebiyle doğan zararının tazminini, eksik işler bedelinin ödenmesini talep ve nama ifadır. Ayrıca, arsa sahibinin eksiklik oranına göre ödemezlik defi savunması ile arsa paylarını devirden kaçınması mümkündür. Ayıplı ifa halinde ise arsa sahibinin, kıyasen Türk Borçlar Kanunu m. 475'te bulunan seçimlik hakları ve buna ek olarak genel hükümlere göre tazminat hakkı bulunmaktadır. Seçimlik hakların kullanılması muayene ve ihbar külfetinin yerine getirilmesine bağlıdır. Terms of agreement for work and preliminary agreement to sell realty are comparingly applied to this Agreement which is one of the atypic agreements. Considering the performance of the contractor who is the primary obligator of the construction agreement in return for land share, it can be stated that this agreement an instantly performed agreement. The terms imperfect performance and deficient work are to be differed from each other. General terms are applied when the contractor performs imperfectly by not delivering the constrcuted independent sections to the landowner. Therefore, it is possible to hold forth claims due to imperfect performance within the prescription period without prejudice and the need for performances of inspection and notification. The claims which can be held forth due to imperfect performance are specific performance, compensation of the damage caused by imperfect performance, payment of the cost of imperfection of performance and performance to order. Moreover in the case of imperfect performance, it is possible for the landowner to claim exceptio non adimpleti contractus and not perform the debt of assigning the land shares to the contractor. In the case of deficient work, landowner can claim the selective rights which are regulated in the article 475 of the Turkish Code of Obligations and also can seek damage. The use of selective rights depends on whether the obligations of inspection and notification are performed.
