Tüzel kişilerin ceza sorumluluğu / Penal liability of legal persons

Abstract

Çalışmanın özünde tüzel kişilerin ceza sorumluluğu incelenmiştir. Tüzel kişilerin ceza sorumluluğunun incelenebilmesi için öncelikle tüzel kişinin tarihsel gelişimine yer verilerek tüzel kişiyi açıklayan teoriler ele alınmıştır. Ardından tüzel kişilerin ehliyetleri, tüzel kişinin hareket kabiliyeti ve hukuka aykırı eylemlerdeki sorumluluk kavramı değerlendirilerek tüzel kişilerin sona ermesi ve sona ermenin sonuçları ele alınmıştır. Çalışmanın devamında tüzel kişilerin ceza sorumluluğunun var olup olmadığı, karşılaştırmalı hukuk ve iç hukukta tüzel kişilerin sorumluluğunun hangi kriterlere dayandığı, tüzel kişileri temsile yetkili olan organın sorumluluğunun sınırları ve tüzel kişilerin ceza sorumluluğu incelenmiştir. Ardından tüzel kişilerin ceza sorumluluğu genel ve özel kanunlar çerçevesinde incelenerek, genel anlamda güvenlik tedbirleri ve tüzel kişilere uygulanabilecek güvenlik tedbirlerinin neler olduğu ele alınmıştır. Theories meant to provide an explanation on the concept of legal person are analysed by exploring the historic development of legal persons in order to investigate the penal liability of legal persons. Also, the legal capacity of legal persons, their action capability and responsibility for unlawful actions are studied dissolution of legal persons and the effects of dissolution are considered. The study continues to consider the availability of penal liability for legal persons, criteria used for determining liability of legal persons in comparative law and domestic law, limitations of competent bodies empowered to represent legal persons as well as penal liability of legal persons. Thereafter, penal liability of legal persons are analysed in line with general and private laws in order to focus on security measures as well as their applicability to legal persons.
